Provider Agreement

This Provider Agreement is between you, as a provider offering services on Sumerzé, and Creamery Technologies LLC, a Colorado limited liability company that operates Sumerzé ("Sumerzé," "we," "us"). It is part of, and adds to, our Terms of Service. By creating a provider profile, listing a service, or accepting a booking, you agree to it. If this Agreement and the Terms of Service conflict on a provider matter, this Agreement controls.

1. Independent business

You are an independent business, not an employee, agent, partner, or joint venturer of Sumerzé. You decide which services you offer, your prices, your availability, where you work, and how you do the work. You may offer your services anywhere else, including on other platforms. Sumerzé does not pay you wages or benefits, does not supervise your work, and does not provide your tools or supplies. Sumerzé provides the technology that lets customers find, book, message, and pay you.

2. Eligibility and your account

You must be at least 18, legally able to form a contract, and legally allowed to perform your services where you perform them. Your profile, services, photos, and prices must be accurate and kept up to date. You may have only one provider profile, and you may not transfer it. To receive payments you must connect a Stripe account and complete Stripe's identity checks, and you agree to the Stripe Connected Account Agreement.

3. Licenses, permits, and insurance

You are responsible for holding, and keeping in good standing, every license, permit, registration, certification, and insurance policy the law requires for your services where you perform them. Sumerzé does not check licenses or insurance. If any required authorization lapses, you must stop offering the affected service right away.

4. Your services and listings

You may list only lawful services that follow our Community Guidelines and Stripe's restricted business rules. Descriptions, prices, durations, deposits, and cancellation policies must be clear and truthful. Photos must be of your own work, and you must have the right to share them, including the permission of any client who appears in them.

5. Requests, quotes, and bookings

Respond to requests and messages promptly. When you accept a booking or a customer accepts your quote, you commit to perform the service at the agreed price, date, and scope. The cancellation policy shown on your profile at the time of booking applies to that booking. Keep your availability and vacation settings current so customers cannot book times you cannot work.

6. Payments and fees

Customers pay deposits and final payments through Sumerzé, processed by Stripe. You receive 100% of your listed price, minus any discount or frequent-client reward you choose to offer. Sumerzé's booking fee and payment processing fees are charged to the customer, as shown on our Fees page. Tips go to you in full. Payouts go to your connected Stripe account on Stripe's schedule. You may not ask customers to pay before a service outside the app (for example by Venmo, Zelle, or cash deposits); deposits must go through the app.

7. Optional paid products

Sumerzé Premium (a subscription) and Sumerzé Verified (a one-time identity check) are optional and are bought through Apple's App Store under the Terms of Service. Neither is required to use Sumerzé.

8. Cancellations, no-shows, refunds, and disputes

If you cancel a confirmed booking, do not show up, or do not respond to a request in time, the customer's deposit and booking fee are refunded automatically. Sumerzé may also refund a customer, fully or partly, for documented provider fault such as a no-show, a material misrepresentation, or misconduct, even where your cancellation policy would not. If a customer disputes a card payment (a chargeback) related to your service, the related amount may be reversed from your Stripe balance while the dispute is open; if the dispute is decided in your favor, it is returned to you. If a dispute about your service (the customer says it was not provided, not as described, or canceled without a refund) is lost, or Sumerzé accepts it because the amount is too small to contest, the reversed amount is not returned and a $15 dispute fee (the fee Stripe charges for each dispute) is deducted from your next payout through Sumerzé, whether that is a deposit or a final payment. Sumerzé covers the fee for fraud and unrecognized-charge disputes. If no payout is available within 60 days, Sumerzé may ask you to pay the fee directly. Any fee charged to providers for provider-caused cancellations or no-shows will be shown in the app before it applies.

9. Taxes

You are responsible for your own income and self-employment taxes. Sumerzé does not withhold taxes from your payouts. Stripe may issue you a Form 1099-K as required by law. Where the law requires a marketplace to calculate and collect sales tax on services, Sumerzé may do so on your bookings and send it to the tax authority; otherwise, any sales tax obligations for your services are yours.

10. Reviews and badges

Customers may review you after a completed booking. You must follow our Reviews & Badges Policy: no fake reviews, no paying or rewarding customers for reviews, no pressuring customers, and no retaliation for honest reviews. Badges such as Top Rated and Sello Sumerzé are awarded automatically by the criteria in that policy and cannot be bought.

11. Conduct and safety

Treat customers with respect and follow our Community Guidelines and all anti-discrimination laws. Do not harass, threaten, or discriminate against anyone. Follow reasonable safety practices for your type of work. Report safety concerns to report@sumerze.com or through the app.

12. Customer information

You may use customers' names, contact details, addresses, and messages only to provide the booked service and communicate about it. Do not sell or share customer information, add customers to marketing lists without their consent, or keep it longer than needed. Keep it secure, and tell us promptly at security@sumerze.com if you believe it was exposed. When you use Invite your clients, only invite people you already know who would expect to hear from you; don't use it for mass messages or advertising. Invites are sent from your own phone and you are responsible for them.

13. Your content

You keep ownership of the photos and text you upload. You grant Sumerzé the license described in the Terms of Service to display them in the app, on sumerze.com, and in marketing about Sumerzé. You can remove photos, or opt out of the discovery feed, at any time in the app.

14. Suspension and ending this Agreement

You may stop offering services and delete your account at any time. You must still complete, or properly cancel, bookings you already accepted. Sumerzé may limit, suspend, or close your provider account if you break this Agreement, the Terms of Service, or the law, or to protect customers or the platform. Amounts owed to you for completed services will still be paid, minus any refunds or reversals that apply.

15. Responsibility and indemnity

You are solely responsible for the services you provide and for any injury, loss, or damage they cause. You agree to defend and indemnify Sumerzé against claims arising from your services, your content, or your breach of this Agreement. The disclaimers and limitation of liability in the Terms of Service apply to this Agreement.

16. Disputes and governing law

Disputes between you and Sumerzé are resolved under the binding arbitration and class-action waiver in the Terms of Service. This Agreement is governed by the laws of the State of Colorado.

17. Changes and contact

We may update this Agreement. If a change materially affects you, we will tell you in the app or by email before it takes effect; continuing to offer services after that means you accept it. Questions: support@sumerze.com. Legal notices: legal@sumerze.com.
